TechnoPrints 3D Printing & Design - Terms and Conditions
Please carefully read these Terms and Conditions ("Terms") before accessing or using the website and services provided by TechnoPrints 3D Printing & Design ("us," "we," "our," or "the Company").
By accessing or using our website and services, you ("User," "Client," or "you") agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our Service.
1. Definitions
- Service(s): Refers to the website, 3D printing services, design services, and any other products or offerings provided by TechnoPrints 3D Printing & Design.
- Client/User: Refers to any individual, company, or legal entity accessing or using our website or purchasing our Services.
- Website: Refers to the online platform operated by TechnoPrints 3D Printing & Design.
2. Acceptance of Terms
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
3. Purchases and Orders
3.1. Order Information: If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
3.2. Payment Processing: We may utilize third-party services to facilitate payment and complete Purchases. By submitting your information, you grant us the right to provide this information to these third parties, subject to our Privacy Policy.
3.3. Order Acceptance: We reserve the right to refuse or cancel your order at any time for reasons including, but not limited to: product or service availability, errors in the description or price of the product or service, errors in your order, or suspicion of fraud or unauthorized transaction. We are not liable for any loss or damage resulting from such refusal or cancellation.
3.4. Pricing: All prices are as itemized in the accompanying quote.
3.5. Currency: All amounts are in Canadian Dollars (CAD) unless otherwise stated.
3.6. Taxes: All applicable federal (GST/HST) and provincial sales taxes will be added to the total amount at the prevailing rates.
3.7. Payment Schedule:
* For orders with a total value less than $1,500 CAD: A 100% upfront payment of the total quoted amount is required upon acceptance of this quote to commence work and/or order necessary materials.
* For orders with a total value of $1,500 CAD or greater: A 50% deposit of the total quoted amount is required upfront upon acceptance of this quote to commence work and/or order necessary materials. The remaining 50% balance is due upon delivery or completion of the services/products, as specified in the accompanying quote or invoice. All invoices for the remaining balance are due Net 30 (payable within 30 calendar days from the invoice date).
3.8. Accepted Payment Methods: Payments can be made via:
* Interac e-Transfer to contact@technoprints.ca
* Bank Transfer
* Credit Card (a 3% processing fee will apply to all credit card payments)
* Cheque
* Cash (for local pickup orders only)
3.9. Late Payment: Invoices unpaid by their due date will be subject to a late payment fee of 4% per month (24% per annum), calculated daily on the outstanding balance, or the maximum rate permitted by law, whichever is less. The Client will also be responsible for any costs incurred by the Company in the collection of overdue amounts, including but not limited to legal fees and collection agency charges.
4. Accuracy of Information
4.1. Content Updates: We are constantly updating our product and service offerings on the Website. However, we may experience delays in updating information on the Website and in our advertisements.
4.2. Errors and Inaccuracies: The information found on the Website may contain errors or inaccuracies, or may be incomplete or not current. Products or services may be mispriced, inaccurately described, or unavailable. We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, and availability. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
5. User Accounts
5.1. Account Responsibility: When you create an account with us, you are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.
5.2. Eligibility: You affirm that you are at least 18 years of age and that the information you provide when creating an account is accurate, complete, and current at all times. Inaccurate, incomplete, or outdated information may result in the immediate termination of your account on the Service.
5.3. Account Termination: We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
6. Intellectual Property
6.1. Company IP: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of TechnoPrints 3D Printing & Design and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TechnoPrints 3D Printing & Design.
6.2. Client IP (for 3D Printing/Design Services):
* When you submit a 3D model, design, or other content to us for printing or design services, you represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all such submissions to enable inclusion and use thereof by the Service.
* You grant TechnoPrints 3D Printing & Design a limited, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your submitted content solely for the purpose of providing the requested Service to you.
7. Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by TechnoPrints 3D Printing & Design.
TechnoPrints 3D Printing & Design has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
You acknowledge and agree that TechnoPrints 3D Printing & Design shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
8. Limitation of Liability
In no event shall TechnoPrints 3D Printing & Design, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- (i) your access to or use of or inability to access or use the Service;
- (ii) any conduct or content of any third party on the Service;
- (iii) any content obtained from the Service; and
- (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
9. Indemnification
You agree to defend, indemnify, and hold harmless TechnoPrints 3D Printing & Design and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- (a) your use and access of the Service, by you or any person using your account and password;
- (b) a breach of these Terms;
- (c) any content you submit, post, transmit, or otherwise make available through the Service;
- (d) your violation of any rights of another, including but not limited to intellectual property rights.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
